Welcome to Qflee! These Terms and Conditions ("Terms") govern your use of our mobile application ("App") and related services. By downloading, accessing, or using the App, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use the App.

1. Eligibility

• You must be at least 13 years old to use the App.
• By using the App, you represent and warrant that you have the legal capacity to enter into these Terms.

2. Account Registration

• To access certain features, you may need to create an account.
• You agree to provide accurate, current, and complete information during registration.
• You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

3. License to Use the App

• We grant you a limited, non-exclusive, non-transferable, and revocable license to use the App for personal, non-commercial purposes.
• You may not:
  • Copy, modify, or distribute the App.
  • Reverse engineer, decompile, or disassemble the App.
  • Use the App for any illegal or unauthorized purpose.

4. User Responsibilities

• You agree to use the App in compliance with all applicable laws and regulations.
• You will not:
  • Engage in any activity that disrupts or interferes with the App’s functionality.
  • Use the App to harass, abuse, or harm others.
  • Upload or share content that is unlawful, offensive, or infringes on others’ rights.

5. Position Swap Agreement

• Swap Eligibility
  • Users may only swap queue positions if the service provider has enabled the swap feature.
• Binding Agreement
  • Both parties irrevocably agree that the swap is final, with no refunds, cancellations, or reversals unless explicitly permitted by the service provider.
• Swap Confirmation
  • The swap is considered complete only upon the generation of a valid Access Code QR.
• Mutual Consent & Payment
  • Both users must mutually agree to swap positions for a pre-determined, non- refundable amount.
  • Payment must be settled before the swap is processed.
• Service Provider’s Responsibility
  • Once a swap is confirmed, the service provider assumes responsibility for accommodating the new positions.
  • The involved parties waive any further obligations regarding the swap.
• Queue Integrity
  • Swapping only exchanges positions  without disrupting  the overall queue order.
• User Acknowledgment
  • Any user initiating a swap must fully accept these terms before proceeding.
• Legal Waiver
  • By completing the swap, both parties:
    • Voluntarily agree to all terms.
    • Waive any right to dispute the swap legally.
    • Assume all risks associated with the transaction.

6. Payments and Subscriptions

• If the App offers paid features or subscriptions, you agree to pay all applicable fees.
• Payments are processed through third-party payment processors, and you agree to their terms and conditions.
• All fees are non-refundable unless otherwise stated.

7. Intellectual Property

• The App and its content, including but not limited to logos, designs, and software, are owned by Qflee/ SALPS TECH LLP, Mumbai and protected by intellectual property laws.
• You may not use our intellectual property without prior written consent.

8. Termination

• We reserve the right to suspend or terminate your access to the App at any time, with or without notice, for any reason, including violation of these Terms.
• You may terminate your account at any time by contacting us.

9. Disclaimer of Warranties

• The App is provided "as is" and "as available" without warranties of any kind, either express or implied.
• We do not guarantee that the App will be error-free, secure, or uninterrupted.

10. Limitation of Liability

• To the fullest extent permitted by law, Qflee / SALPS TECH LLP shall not be liable for any indirect, incidental, or consequential damages arising from your use of the App.
• Our total liability to you for any claims related to the App shall not exceed the amount you paid (if any) to use the App.

11. Indemnification

• You agree to indemnify and hold harmless [Your Company Name] and its affiliates from any claims, damages, or losses arising from your use of the App or violation of these Terms.

12. Third-Party Links and Services

• The App may contain links to third-party websites or services. We are not responsible for the content or practices of these third parties.

13. Changes to These Terms

• We may update these Terms from time to time. If we make significant changes, we will notify you through the App or via email.
• Your continued use of the App after such changes constitutes your acceptance of the updated Terms.

14. Governing Law

• These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law principles.
• Any disputes, claims, or controversies arising out of or in connection with these Terms or the use of the App shall be subject to the exclusive jurisdiction of the courts located in  Mumbai, Maharashtra , India.
